Please read these Terms of Service carefully before using Entreprenote. By using our app, you agree to these terms.
By creating an account or using the Entreprenote mobile or web application (the "Service"), you agree to be bound by these Terms of Service (these "Terms"). If you do not agree with any part of these Terms, you must not use the Service. These Terms apply to all users of Entreprenote worldwide and form a legally binding agreement between you and Entreprenote ("Company", "we", "us", or "our").
You acknowledge that you have read and understood these Terms. You also agree to any additional policies or guidelines we provide, including our Privacy Policy (available on our site), which is incorporated by reference. By continuing to use the Service, you indicate your acceptance of these Terms and any updates to them.
You must be at least 13 years old to use Entreprenote. If you are under the age of majority in your jurisdiction (typically 18 years old), you may only use the Service under the supervision and with the consent of a parent or legal guardian who agrees to be bound by these Terms. If you are using Entreprenote on behalf of an organization or company, you represent that you have the authority to bind that entity to these Terms, and in that case, "you" and "your" will refer to that entity.
Entreprenote is a platform designed to help entrepreneurs and innovators brainstorm, organize, and refine startup ideas using note-taking tools and AI-powered assistance. The Service enables you to create and manage unlimited idea entries, attach and organize notes, and respond to structured prompts (over 200 guided questions) to develop different aspects of your business ideas. Throughout the process, Entreprenote provides intelligent suggestions and content to inspire and guide your planning.
In addition, Entreprenote includes community and networking features, such as a mini-marketplace where third-party service providers (for example, product development agencies or marketing experts) offer deals and resources, and a public event discovery section where you can find startup-related events and workshops. These features help connect you with external resources and opportunities relevant to your entrepreneurial journey.
The Service is accessible via a mobile application and a web application. Core features are available to all users for free, while advanced capabilities are offered through an optional premium subscription (see Section 5 for details on Premium Membership). Some features of the Service may still be in development or offered as beta releases. We strive to improve the platform continuously, and certain features (such as AI assistants or new tools) may be introduced, modified, or removed as the Service evolves (see Section 11 on Changes to the Service).
You affirm that you are at least 13 years of age and are otherwise legally permitted to use the Service. The Service is not intended for children under 13. If you are between 13 and the age of legal majority in your jurisdiction, you should review these Terms with your parent or guardian to ensure they understand and agree to them on your behalf. If we have previously terminated your account or banned you for violation of these Terms, you are not eligible to use the Service.
You may only use Entreprenote if you are not barred from doing so under applicable laws. For example, you cannot use the Service if you are on any government sanctions list or if you are located in a region where access to the Service or the underlying AI technologies is prohibited by law. By using Entreprenote, you represent and warrant that you meet all the eligibility requirements outlined here.
To access certain features of Entreprenote (such as saving ideas or accessing premium content), you may need to create an account. When registering, you agree to provide accurate, current, and complete information about yourself as prompted, and to keep this information updated. You are responsible for maintaining the confidentiality of your account login credentials and for all activities that occur under your account.
You must use a strong, unique password for your account and protect it from unauthorized use. Do not share your account credentials with others. If you suspect any unauthorized access to or use of your account, you must notify us immediately. Entreprenote will not be liable for any loss or damage arising from your failure to safeguard your account information or from unauthorized access to your account.
You are allowed to create only one account for your personal use (unless explicitly permitted to manage multiple accounts, such as separate business and personal profiles). You must not impersonate anyone or use another person's account at any time. We reserve the right to suspend or terminate accounts that we determine to be in violation of these requirements or that pose a security risk.
Entreprenote offers an optional Premium membership for users who want access to enhanced features and content beyond the free tier. Free users can create unlimited ideas, attach notes, and use all standard guided prompts at no cost. Premium subscribers gain additional benefits designed to accelerate and deepen the startup development process. These premium features include, but are not limited to:
Premium membership is offered as a subscription service (e.g., monthly or annual plans). By subscribing to Premium, you authorize Entreprenote (or the app store/platform through which you subscribed) to charge the applicable subscription fees to your designated payment method on a recurring basis until you cancel. All fees are stated in the applicable currency and are exclusive of any taxes or duties, unless stated otherwise. You are responsible for paying any such taxes or duties related to your subscription.
If you subscribe through a mobile app platform (such as the Apple App Store or Google Play Store), the purchase and billing process is governed by that platform's terms and conditions, and any billing inquiries or refund requests may need to be directed to that platform. Entreprenote does not control and is not responsible for the platform's policies. If you subscribe directly through our website, our third-party payment processor will handle your payment information securely. We do not store your full credit card details on our servers.
Your Premium subscription will automatically renew at the end of each billing cycle (monthly, yearly, or as specified) unless you cancel it prior to the renewal date. You can manage or cancel your subscription at any time through the account settings in the app or the platform where you purchased the subscription. If you cancel, you will retain access to Premium features until the end of your current paid term; no further charges will be made. We do not offer prorated refunds for any unused portion of a subscription period, except where required by law or by the policies of the platform through which you subscribed. We reserve the right to adjust pricing for the Premium membership and will notify you in advance of any price changes that would apply upon your subscription renewal. Your continued use of the Premium service after a price change goes into effect constitutes your acceptance of the new price.
You retain ownership of any content you create, input, or upload to Entreprenote, including the ideas you draft, notes you attach, responses you write to prompts, and any other materials you add to the Service ("User Content"). Entreprenote does not claim ownership of your ideas or User Content. However, in order to provide the Service and its features (including AI analysis and collaboration tools), we require certain permissions from you regarding that content.
By submitting or storing User Content on the Service, you grant Entreprenote a worldwide, non-exclusive, royalty-free, sublicensable (to our service providers and partners solely for purposes of operating the Service), and transferable license to use, reproduce, display, adapt, modify (for technical processes like formatting or to incorporate into AI processing), and distribute your User Content as needed to operate, provide, and improve the Service. This license is solely for the purpose of enabling us to offer the Service's functionality to you and other users — for example, to display your content back to you, to back up your data, to process your inputs through our AI features, or to allow you to share your content with others at your direction.
You are responsible for the User Content you provide and for ensuring that it does not violate any laws or these Terms. All User Content must adhere to the content guidelines and acceptable use rules set forth in Section 8. In particular, you should not upload or share anything that is illegal, harmful, or infringes anyone else's rights. You represent and warrant that you have all necessary rights and permissions to submit the User Content to the Service and to grant the license above, and that our use of the content in accordance with these Terms will not infringe or violate the rights of any third party.
If you choose to share any idea or content from Entreprenote publicly or with other users (for instance, if a future feature allows collaboration on ideas, public posting of certain content, or leaving reviews/comments within the app), you understand that such content will become visible to others and may be used or re-shared by them. For any content you make public, you also grant other users of the Service a license to access, use, and share that content as permitted by the functionality of the Service and these Terms. Please think carefully before sharing any sensitive or valuable information publicly. Entreprenote is not responsible for how third parties may use or disseminate content that you choose to make public through the Service.
We do not routinely monitor or pre-screen User Content, but we reserve the right (though not the obligation) to review, remove, or disable access to any User Content at our discretion for any reason. This may include situations where we believe content violates these Terms, applicable law, or the rights of others, or if the content is otherwise objectionable. We may take these actions without prior notice to you. You understand that you should maintain your own backup copies of any important User Content; while we employ measures to protect data, we cannot guarantee that content stored on the Service will never be lost or corrupted.
All content and materials provided by Entreprenote through the Service, including but not limited to software, code, designs, text, graphics, logos, interfaces, the compilation of content, and any other materials created or provided by us (collectively, "Entreprenote Content"), are the property of Entreprenote or its licensors and are protected by intellectual property laws (such as copyright and trademark laws). "Entreprenote", "Chameleon Charlie", "Idea Agent", and other Entreprenote logos or product/service names are trademarks or service marks of Entreprenote. Except for the limited use rights expressly granted to you in these Terms, no license or ownership rights in any Entreprenote Content or trademarks are transferred to you.
Subject to your compliance with these Terms, we grant you a personal, limited, non-exclusive, non-transferable, revocable license to access and use the Service and Entreprenote Content for your individual use (or internal business use, if you are an entity) in accordance with these Terms. This license is provided solely to allow you to utilize the Service as intended by us. You may not use the Entreprenote name, logos, or any Entreprenote Content in any manner not expressly permitted by these Terms without our prior written consent.
You agree that you will not, and will not assist or enable others to:
If you provide us with any feedback, suggestions, or ideas about the Service ("Feedback"), you agree that such Feedback is given voluntarily and we may use it freely. You hereby grant Entreprenote a perpetual, irrevocable, worldwide, royalty-free license to use, modify, and incorporate any Feedback into our products and services without any obligation to you.
We expect all users to use Entreprenote responsibly and respectfully. When using the Service, you agree that you will NOT:
Violation of the above rules or any other aspect of these Terms may result in the immediate suspension or termination of your account, at our sole discretion, and may expose you to civil and/or criminal liability. We reserve the right to investigate incidents that we believe involve such violations and may involve, cooperate with, or report to law enforcement authorities in prosecuting users who violate the law.
Entreprenote also reserves the right to remove or disable access to any content (including User Content) that we deem to violate these Terms or that is otherwise objectionable in our sole judgment. We may do this at any time, with or without notice. You are solely responsible for your interactions with other users. While we are not responsible for user conduct, we may intervene and mediate disputes between users at our discretion to enforce these Terms.
If you believe someone is misusing the Service or violating these Terms, please report it to us (for example, via an in-app reporting feature or by contacting support). We will review the report and take any actions we deem appropriate.
Entreprenote integrates advanced artificial intelligence technologies (such as large language models provided by third parties like OpenAI or Google) to power features including Chameleon Charlie and the Idea Agent. While these AI-driven features are designed to provide helpful insights, guidance, and content, it is important to understand their limitations. You should not rely solely on AI-generated outputs for making important decisions or plans. The information and suggestions provided by Chameleon Charlie, the Idea Agent, or any other AI features within the Service are for informational and brainstorming purposes only. They may not always be accurate, complete, or tailored to your specific circumstances.
Entreprenote makes no guarantees regarding the accuracy, reliability, or quality of the content generated by its AI features. The AI might occasionally produce content that is incorrect, irrelevant, or inappropriate. For example, the AI might misunderstand your question, provide outdated information, or generate text that does not make sense in context. If you encounter an AI-generated response that seems questionable or offensive, we encourage you to ignore that output and report it to us so we can improve our systems. You should always use your own judgment and, if necessary, seek professional advice (for example, legal or financial advice) rather than relying exclusively on AI outputs from the Service.
By using the AI features in Entreprenote, you understand and agree that your inputs (such as the questions you ask Chameleon Charlie or the data from your idea that you allow the Idea Agent to analyze) may be sent to and processed by third-party AI providers that we work with. We take precautions to transmit your data securely to these providers and only share what is necessary to generate a helpful response. These third-party AI services operate under their own terms and privacy policies, and we contractually require them to handle your data in compliance with applicable laws and only for the purposes of providing the AI functionality. However, we cannot guarantee how a third-party service might treat your information beyond these commitments. Please refer to our Privacy Policy for more information on data handling related to AI features. By using the AI features, you also agree to abide by any usage policies of the third-party AI providers, as applicable.
You further agree that you will use the AI features in compliance with our Acceptable Use policy. This means, for example, you will not attempt to use the AI to generate disallowed content (such as hate speech or other prohibited material), and you will not attempt to misuse the AI by exploiting vulnerabilities or attempting to obtain other users' information. We may impose certain usage limits on AI features (such as a cap on the number of queries or a rate limit) for technical reasons or to ensure fair use between users. These limits may differ for free users versus Premium subscribers. We also reserve the right to filter or modify queries or outputs from the AI features in order to enforce these Terms or to adhere to the policies of our AI providers, but we are not liable for any content that the AI produces. You use the AI features at your own risk, and you understand that any advice or information provided by our AI is provided "as is" without warranty (as further detailed in Section 14).
Entreprenote may include integrations with or links to third-party services and content. This includes, for example, the mini-marketplace where external service providers offer their products or services to our users, the public event discovery section listing events hosted by third parties, and various partner integrations (such as analytics tools, authentication/login providers, or payment processors). While we curate and provide access to some of this third-party content to enhance your experience, these third-party offerings are not under our control, and we are not responsible for their content, actions, or policies.
Any transactions, communications, or engagements you have with third parties found via Entreprenote are solely between you and those third parties. For instance, if you decide to hire a service provider discovered through our mini-marketplace (such as a developer for your MVP or a marketing consultant), any contract or agreement you enter into is directly between you and that provider. Entreprenote is not a party to those dealings, and we do not guarantee or endorse the services that third parties offer. Similarly, if you RSVP to or attend an event that you found through our event discovery feature, we are not responsible for the event itself; any arrangements, fees, or obligations are strictly between you and the event organizers.
We do not warrant or assume any liability for products, services, information, or actions of any third parties that are listed or linked through our Service. This includes the accuracy of any descriptions or details provided about third-party offers or events. While we may, at our discretion, vet or curate the third-party listings to some degree (for example, by partnering with certain providers or filtering event submissions), we cannot guarantee that every third-party offering will meet your expectations or be suitable for your needs. You should exercise your own judgment and due diligence when deciding to engage with any third-party content or services.
If the Service allows users to leave feedback, ratings, or reviews for third-party services or events (for example, reviewing a consultant you hired through the marketplace or commenting on an event you attended), you must ensure that your postings are honest, respectful, and comply with these Terms (especially the Acceptable Use policy in Section 8). Prohibited content, such as false statements, defamatory remarks, spam, or harassment, is not allowed in reviews or comments. Entreprenote reserves the right to moderate, edit, or remove any user-generated reviews or comments that violate our standards or policies. We may also suspend or terminate the accounts of users who repeatedly post inappropriate or abusive content.
The Service itself relies on various third-party technologies and services to function effectively. For example, we use Supabase for our database and backend infrastructure, Google Analytics to gather usage insights (which helps us improve the product), Crashlytics or Sentry for crash reporting and diagnostics, and potentially other tools for performance monitoring and quality assurance. By using Entreprenote, you acknowledge that such third-party services are integrated into our application. We strive to work with reputable providers and to maintain compliance with relevant privacy and data protection laws when using these tools. However, Entreprenote shall not be held liable for any issues or breaches that arise from the actions of such third-party providers, beyond our reasonable control. We encourage you to read our Privacy Policy to understand what information is shared with these providers and how it is used.
Entreprenote is an evolving service, and we may make modifications, updates, or improvements to it over time. We reserve the right to change, suspend, or discontinue any part of the Service (or the entire Service), temporarily or permanently, at any time and for any reason. For example, we may add new features, remove or alter existing features (including discontinuing certain tools or merging functionalities), or update the software and infrastructure which may affect how the Service operates.
Whenever feasible, we will attempt to provide advance notice to users about major changes that could significantly affect the way you use the Service (such as a substantial redesign, the removal of a core feature, or the shutdown of the platform). This notice might be provided via in-app notifications, email, or announcements on our website. However, there may be circumstances where we must make immediate changes without notice, such as for security reasons, to comply with legal requirements, or to address an urgent technical issue.
You agree that Entreprenote shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Service or any part of it. If you are a Premium subscriber and a change to the Service materially reduces the value or functionality of the Premium features you've paid for, you may contact us to discuss the impact. Depending on the circumstances, we may offer remedies such as alternative features, extensions of your subscription, or partial refunds, at our discretion. However, except where required by law, we are not obligated to provide any compensation for changes to a free Service or for modifications to Premium features.
We may update or revise these Terms from time to time as our Service or legal requirements evolve. When we make changes, we will update the "Last Updated" date at the top of this document. In the case of material changes that affect your rights or obligations, we will take additional steps to inform you, such as sending an email to the address associated with your account or displaying a prominent notice within the app or on our website. It is your responsibility to review any updated Terms, which will be accessible via the app and our website.
Unless we state otherwise, changes to the Terms will be effective when posted. After updated Terms are in effect, if you continue to use Entreprenote, that use will constitute your acceptance of the updated Terms. If you do not agree with any changes, you should stop using the Service and, if applicable, cancel any Premium subscription. We recommend that you periodically review the Terms to stay informed about our current rules and obligations.
You are free to stop using Entreprenote at any time. If you wish to delete your account, you may do so via the account settings (if that functionality is provided) or by contacting our support team with a deletion request. Account deletion is permanent and will result in the loss of all data associated with your account (including your ideas, notes, and any other saved content), except that we may retain certain information as required by law or as permitted under our Privacy Policy (for example, for legal compliance or legitimate business purposes).
We reserve the right to suspend or terminate your access to the Service (or certain features of the Service) at any time, with or without notice, if we believe that: (a) you have violated these Terms or any applicable law; (b) you pose a security risk or risk of future legal liability to us; (c) you are engaging in fraudulent, abusive, or harmful behavior; or (d) we are unable to continue providing the Service to you due to business or technical reasons (for example, if we decide to discontinue the Service). In non-urgent cases, we may provide you with a warning or an opportunity to remedy a violation before termination, but we are not obligated to do so.
If your account is terminated (whether by you or by us), your right to access and use the Service will immediately end. We may permanently delete your User Content and data from our systems, and you will not be able to recover that information once your account is closed (unless otherwise required by law). If we terminate your account due to a breach of these Terms or misconduct, you are not entitled to any refunds or compensation for any unused subscription time or content, and you may not create a new account to circumvent the termination. If we terminate the Service entirely for all users, we will make reasonable efforts to let you know in advance and to provide you with an opportunity to export your data where possible.
Any provisions of these Terms that by their nature should survive termination (such as provisions concerning intellectual property, indemnification, limitation of liability, dispute resolution, and others) shall survive and remain in effect after your access to the Service has been terminated.
YOUR USE OF ENTREPRENOTE IS AT YOUR SOLE RISK. THE SERVICE (INCLUDING ALL FEATURES, CONTENT, AND SERVICES PROVIDED THROUGH IT) IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ENTREPRENOTE AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, PARTNERS, AND LICENSORS EXPRESSLY DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
Without limiting the generality of the foregoing, Entreprenote makes no warranty that the Service will meet your requirements or expectations, or that your goals (for example, launching a successful startup, obtaining investment, or finding a mentor) will be achieved by using the Service. We make no guarantee that the Service will be uninterrupted, timely, secure, or error-free, or that any defects will be corrected. Entreprenote does not warrant the accuracy, reliability, completeness, or usefulness of any information or content provided through the Service, whether generated by our AI features, provided by Entreprenote staff, or contributed by users or third parties. You understand that any reliance on information obtained through the Service is at your own discretion and risk.
Some jurisdictions do not allow the exclusion of certain warranties or conditions, so some of the above disclaimers may not apply to you. In such jurisdictions, the disclaimers shall apply to the maximum extent permitted by law. No advice or information (whether oral or written) obtained from Entreprenote or through the Service shall create any additional obligations or warranties beyond those expressly stated in these Terms.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ENTREPRENOTE AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, PARTNERS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (I) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SERVICE; (II) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICE; (III) ANY CONTENT OBTAINED FROM THE SERVICE; AND (IV) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT ENTREPRENOTE HAS BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE.
IN NO EVENT SHALL ENTREPRENOTE'S AGGREGATE LIABILITY EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS ($100) OR THE AMOUNT YOU PAID ENTREPRENOTE IN THE PAST TWELVE MONTHS.
THE LIMITATIONS OF DAMAGES SET FORTH ABOVE ARE FUNDAMENTAL ELEMENTS OF THE BASIS OF THE BARGAIN BETWEEN ENTREPRENOTE AND YOU.
You agree to defend, indemnify, and hold harmless Entreprenote and its affiliates, officers, employees, agents, partners, and licensors from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to your violation of these Terms or your use of the Service, including, but not limited to, your User Content, any use of the Service's content, services, and products other than as expressly authorized in these Terms, or your use of any information obtained from the Service.
These Terms shall be governed by and construed in accordance with the laws of the State of California, without giving effect to any choice or conflict of law provision or rule. Any legal suit, action, or proceeding arising out of, or related to, these Terms or the Service shall be instituted exclusively in the federal courts of the United States or the courts of the State of California, in each case located in the City of San Francisco and County of San Francisco. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.
No waiver by Entreprenote of any term or condition set out in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of Entreprenote to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.
If any provision of these Terms is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms will continue in full force and effect.
These Terms constitute the entire agreement between you and Entreprenote regarding our Service, and supersede and replace any prior agreements we might have had between us regarding the Service.
